1. Eligibility:
The Sweepstakes is offered only to legal United States residents and who are at least twenty-one (21) years of age or older at the time of entry (“Eligible Entrants”). Employees of Socios Services USA, Inc. (“Socios”) (“Sponsor”), Professional Fighters League, LLC (“PFL”), or Overtime Elite Arena, LLC (“OTE”) (collectively, “Sweepstakes Entities”), or any of the Sweepstakes Entities’ advertising agencies, officers, directors, agents and employees and their immediate family or household members (whether legally related or not) are not eligible to participate in the Sweepstakes or win a prize. A person cannot be an Eligible Entrant or winner if such person is a person: (a) with whom U.S. persons or entities are restricted from doing business under regulations of the Office of Foreign Asset Control (“OFAC”) of the Department of the Treasury (including those named on OFAC’s Specially Designated and Blocked Persons List) or under any statute or executive order; or (b) who is acting, directly or indirectly, for or on behalf of any such person. For purposes of this Sweepstakes, immediate family members are defined as spouse, partner, parents, legal guardians, in-laws, grandparents, siblings, children and grandchildren and those living in the same household shall mean people who share the same residence at least three (3) months a year, whether legally related or not. Void where prohibited by law.
2. Sweepstakes Period
Sweepstakes period begins Sweepstakes period begins on June 21st, 2023 at time of posting on the US Socios Instagram page @SociosUSA and ends on June 22nd, 2023 at 11:59:59 a.m. Eastern Time (the “Sweepstakes Period”).
3. Entry
You may enter by going to www.instagram.com/sociosusa and performing the following (1) follow the Instagram user @SociosUSA, (2) clicking the like button in the post in the link, and (3) providing a comment/tag in the post in the link. Upon completing the entry method, and subject to the conditions below, you will automatically be entered into the Sweepstakes. Proof of entry submission does not equate to proof of receipt. Entrants agree to be bound by the Official Rules.
LIMIT ONE ENTRY PER PERSON DURING THE SWEEPSTAKES PERIOD (REGARDLESS OF WHETHER MORE THAN ONE PERSON USES THE SAME E-MAIL ADDRESS). If more than one entry is received, only the first entry will be entered into the Sweepstakes, and all other entries will be disregarded. In the event of a dispute as to any online entry, the authorized account holder of the e-mail address used to enter will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an e-mail address by an Internet access provider, online service provider or other organization responsible for assigning e-mail addresses for the domain associated with the submitted address. The potential winner(s) may be required to show proof of being the authorized account holder.
No responsibility is assumed for lost, late, incomplete, stolen, misdirected or illegible entry; or for any computer, telephone, cable, network, satellite, electronic or Internet hardware or software malfunctions, failures, connections, availability or garbled or jumbled transmissions, or service provider/Internet/Web site/use net accessibility or availability, traffic congestion, or unauthorized human intervention. No mass entries or mechanically reproduced entries will be accepted. All entries become the exclusive property of Socios Services USA, Inc. and will not be returned or acknowledged. Any attempts by an individual to access the Website via a bot script or other brute-force attack will result in that IP address becoming
ineligible. Socios Services USA, Inc., will prosecute any fraudulent activities to the full extent of the law. Socios Services USA, Inc. reserves the right to suspend or terminate this Sweepstakes without notice if, in Socios Services USA, Inc. sole discretion, the Sweepstakes becomes infected or otherwise corrupted.
4. Drawing
One (1) drawing in total will be conducted by the Socios and held on or about June 22nd, 2023. Six (6) Winners (each, a “Winner”) will be selected randomly by the Socios from all eligible entries received during the Sweepstakes Period. Each Winner of drawing will be notified by direct message, twenty-four (24) hours of the drawing. If, after two (2) attempts, contact has not been made, prize will be forfeited, and an alternate winner will randomly be selected from the eligible entries received during the Sweepstakes Period. Fulfillment agent must speak with potential winner.
5. Prize/Odds
In accordance with these Official Rules, one (1) Winner will be awarded the following prize: two (2) VIP tickets for PFL 6 at the Overtime Elite Arena on June 23rd, 230 17th St NW, Atlanta, GA 30363 (a “Prize”) (approximate retail value: $1000). Such Winner will be permitted to choose total of 2 attendees.
Another five (5) Winners will be awarded the following prize: two (2) tickets for general admission for PFL 6 at the Overtime Elite Arena on June 23rd, 230 17th St NW, Atlanta, GA 30363 (a “Prize”) (approximate retail value: $400). Such Winner will be permitted to choose total of 2 attendees.
Odds of winning will be determined by the total number of entries received during the Sweepstakes Period. No assignment, transfer or substitution of prize is permitted except by the Sponsor in the event of prize unavailability. Use of the Prizes shall be subject to all of PFL and OTE’s applicable rules and policies (including, without limitation, any ticket back language).
6. Tax and Responsibility
Socios will File an information return for the payment with the Internal Revenue Service (26 C.F.R. § 1.6041-1) and issue the winner a IRS Form 1099-MISC as required by law. Taxes on or connected with the prize and the reporting consequences thereof are the sole responsibility of Winner.
7. General Conditions
Winner may be required to execute and return a Publicity Waiver/Release within five (5) days of notification of the prize, where lawful. Failure to return document timely, or if prize notification or prize is returned as non-deliverable, Winner may be disqualified with an alternate winner selected. The Prizes cannot be transferred, assigned, or redeemed for cash. Unless otherwise set forth herein, each Winner shall be solely responsible for any and all costs not specifically described as part of the Prize including any and all of his/her travel expenses and accommodations. Where permitted by law, Winner agrees to grant Socios and/or PFL the right to print, publish, broadcast and use, worldwide in any media now known or hereafter developed, including but not limited to the world wide web, at any time or times, the winner’s name, portrait, picture, voice, likeness and biographical information as news or information and for advertising and promotional purposes without additional consideration; and further without such additional compensation, appear for, or provide biographical information for use in, any presentation or other activity which may include filming/audio/video/electronic or other recordings and/or interviews, as may be determined from time to time by Socios and/or BKLYN. Failure to make such appearances or grant such rights may result in disqualification with an alternate winner or potential winner selected; and while not obligated to do so, the Socios may, in their sole discretion, bear such reasonable costs and expenses which Socios, in their sole discretion, deem appropriate for winner or potential winners to appear for a presentation or other activity. Further, each Winner and entrant agrees to release and hold harmless Socios, BKLYN, Brooklyn Events Center, LLC, their respective affiliates and their respective directors, officers, employees, representatives and agents from any and all liability for any injuries, loss or damage of any kind to person, including death, and property, arising in whole or in part, directly or
indirectly, from acceptance, possession, use or misuse of a prize, participation in any Sweepstakes related activity, or participation in this Sweepstakes. VOID WHERE PROHIBITED BY LAW. FEDERAL, STATE AND LOCAL LAWS AND REGULATIONS APPLY. NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.
8. Limitations of Liability
The Sweepstakes Entities will not be responsible for any incorrect or inaccurate information and assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation, theft or destruction. IN NO EVENT WILL SOCIOS, PFL, OVERTIME ELITE ARENA, LLC OR THEIR RESPECTIVE OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AFFILIATES AND AGENTS, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.
9. Disclosure
This promotion is in no way sponsored, endorsed, administered by or associated with Instagram.
10. Dispute Resolution
In the event of any disputes, claims, and causes of action arising out of or in connection with this Sweepstakes, including but not limited to any game or any prize, or the breach, enforcement, interpretation, or validity of these Official Rules or any part of it (each, a “Dispute”), both parties shall first try in good faith to settle such Dispute by providing written notice to the other party describing the facts and circumstances of the Dispute and allowing the receiving party thirty (30) days in which to respond to or settle the Dispute. Notice of a Dispute shall be sent to: (a) Sponsor, at SOCIOS 8275 S Eastern Avenue, Suite #200-648, LAS VEGAS NV 89123, or (b) winner or eligible entrant, at the address on file for winner or entrant Attention: Legal Department . Winner, eligible entrant, and the Sweepstakes Parties each agree that this dispute resolution procedure is a condition precedent that must be satisfied before initiating any litigation or filing any claim against the other party. IF ANY DISPUTE CANNOT BE RESOLVED BY THE ABOVE DISPUTE RESOLUTION PROCEDURE, YOU AGREE THAT THE SOLE AND EXCLUSIVE JURISDICTION FOR SUCH DISPUTE WILL BE DECIDED BY FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS AS DESCRIBED BELOW. ARBITRATION ON AN INDIVIDUAL BASIS MEANS THAT YOU WILL NOT HAVE, AND YOU WAIVE, THE RIGHT FOR A JUDGE OR JURY TO DECIDE YOUR CLAIMS, AND THAT YOU MAY NOT PROCEED IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE CAPACITY. Other rights that you or the Sweepstakes Parties would otherwise have in court will not be available or will be more limited in arbitration, including discovery and appeal rights. All such Disputes shall be exclusively submitted for binding arbitration under the rules of the American Arbitration Association (“AAA”) then in effect, before one arbitrator to be mutually agreed upon by both parties (or, if not agreed within 30 days of the first party proposing an arbitrator, determined under AAA rules). The Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration. The award determined by the arbitration will be final and binding, except for any right of appeal provided by the Federal Arbitration Act, and may be entered in any court having jurisdiction over the parties for purposes of enforcement. The place of such arbitration shall be the State of New York. Any Disputes not subject to the arbitration provision discussed above shall be resolved exclusively in the federal or state courts sitting in the State of New York and winner, eligible entrant expressly consent to the jurisdiction of and venue in such courts and waive all defenses of lack of jurisdiction and inconvenient forum with respect to such courts for purposes of litigating any such claim or action. Each participant agrees to service of process by mail or other method acceptable under the laws of New York.

12. PFL Rules
The Sweepstakes and the terms and conditions contained herein shall be governed by all Professional Fighter’s League (“PFL”) rules, regulations, resolutions, and agreements, as they may be modified or amended from time to time.
